Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ROIA360 platform and related services ("Services") provided by ROI Analytics LLC ("Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
ROIA360 provides data integration and analytics services, including:
- Automated synchronization of QuickBooks Online data to cloud data warehouses
- Pre-built analytics dashboards and reports via Power BI
- Data transformation and business intelligence tools
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
3. Account Registration
To use our Services, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access to your account
- Be at least 18 years old or have legal authority to enter into these Terms
You are responsible for all activities that occur under your account.
4. QuickBooks Online Authorization
Our Services require you to authorize access to your QuickBooks Online account. By granting this authorization, you:
- Confirm you have the right to access and share the financial data in that account
- Understand that we will access your data solely to provide the Services
- May revoke access at any time through your QuickBooks Online settings
5. Data Ownership
You retain all ownership rights to your data. Our Services sync your data to infrastructure you designate (your Azure SQL Database). We do not claim ownership of your financial data and will not use it for any purpose other than providing the Services.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or attempt to extract source code from our software
- Resell or redistribute the Services without our written consent
- Use the Services to process data you do not have the right to access
7. Fees and Payment
Certain features of our Services may require payment of fees. If applicable:
- Fees will be communicated before you incur any charges
- Payment terms will be specified in a separate service agreement
- You are responsible for any taxes associated with your use of the Services
8. Intellectual Property
The Services, including all software, dashboards, reports, documentation, and related materials, are owned by ROI Analytics LLC and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for the accuracy or completeness of data obtained from QuickBooks Online or other third-party sources.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROI ANALYTICS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
Our total liability for any claims arising under these Terms shall not exceed the amounts paid by you for the Services during the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless ROI Analytics LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
12. Termination
Either party may terminate these Terms at any time. Upon termination:
- Your access to the Services will be discontinued
- You should revoke our application's access in your QuickBooks Online settings
- Data in your own cloud environment remains under your control
- We will delete any stored credentials associated with your account
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Washington, D.C.
14. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
